1. Agreement to Terms
By accessing or using automatedmsp.com (the "Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.
2. Services Description
AutomatedMSP, LLC provides automation consulting, AI integration services, and custom bot development for managed service providers, software vendors, and businesses. Services are provided on a project or retainer basis as agreed upon in separate service agreements.
3. User Obligations
You agree to:
- Provide accurate and complete information
- Use the Service lawfully and in accordance with these Terms
- Not misuse, abuse, or attempt to gain unauthorized access to our systems
- Not use the Service for any illegal or unauthorized purpose
- Maintain the confidentiality of any account credentials
4. Intellectual Property
Website & Content: All content on automatedmsp.com, including text, graphics, logos, and software, is the property of AutomatedMSP, LLC and protected by copyright and trademark laws.
Client Work: For partnership and consulting engagements, intellectual property rights are specified in individual service agreements. Generally, clients own the custom code and systems we build for them, while we retain rights to our proprietary methodologies and tools.
5. Payment Terms
For paid services:
- Pricing is specified in individual service agreements
- Payment terms are net 15 days unless otherwise agreed
- Late payments may incur interest charges
- We reserve the right to suspend services for non-payment
- Refund policies are specified in individual agreements
6. Service Availability
We strive to provide uninterrupted service but do not guarantee that the Service will be available at all times. We may suspend or terminate service for maintenance, updates, or in case of technical issues.
7. Limitation of Liability
To the maximum extent permitted by law:
- Services are provided "as is" without warranties of any kind
- We are not liable for indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount paid for services in the past 12 months
- We are not responsible for third-party services or integrations
8. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of engagement. Detailed confidentiality terms are specified in individual service agreements and NDAs.
9. Termination
Either party may terminate service agreements according to the terms specified in individual contracts. We reserve the right to terminate access to the website immediately for violations of these Terms.
10. Dispute Resolution
Any disputes arising from these Terms or use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States.
11. Governing Law
These Terms are governed by the laws of the United States, without regard to conflict of law principles.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of the Service after changes constitutes acceptance of the new Terms.
